Events Commission Agreement for Event Hosts to Promote, Sell Tickets on the Funoni Marketplace.

Funoni inc. Events Commission Sales Agreement

This Commission Sales Agreement (“Agreement”) is made and effective the Date Post Event form is submitted
Funoni, Inc. (“Funoni.com”), whose website address is at https://www.Funoni.com/events/post and submitted Event Host Name the (“Principal”), organized and existing under the laws of California Whereas the Principal wishes to market the product(s) in this agreement the (“Products”); Whereas Funoni Inc. is prepared to list and sell the Product(s) on the Funoni.com marketplace on behalf of the Principal in return for a commission. It is agreed as follows:

1. Selling Rights

Funoni Inc. will list Products(s) (e.g Event Tickets) on the Funoni.com platform to generate sales(e.g customers buy event tickets on the Funoni.com platform)
1. The Principal grants Funoni Inc. the right to sell the Product(s) (e.g event tickets) on behalf of the Principal within the territory described in this agreement until termination of this agreement. Selling rights commence the Date Post Events form is submitted the (“Selling Rights”).
2. Funoni Inc. shall do its best efforts to sell the Product(s) for the duration of the Selling Rights.

2. Product Prices

1. The Principal shall fix the starting selling price(s) of the Product(s) (e.g event tickets) and Funoni Inc. may sell the Product(s) ( e.g event tickets) at a higher selling price then the Principal's fixed starting selling price of the Products(s) on the Funoni.com marketplace.
2. Funoni Inc. shall obtain orders information, and payment for the Product(s) (e.g event tickets) from buyers, signed by or on behalf of the buyers and transfer the orders information, scan tickets login code before event date and time. Payment will be transferred to the Principal after Funoni Inc. has received the commission of the selling price for Product(s) (e.g Event Tickets) and Principal fulfill responsibilities (scan event tickets, admit guests to event with purchased event tickets on the date, time, location of event).
3. Additionally to the commission of the selling price, Funoni Inc. may earn an additional payment from the difference between the fix starting price(s) of the Products(s) set by The Principal and the Products(s) higher selling price on the Funoni.com marketplace.
4. Funoni Inc. is not responsible for anything outside the Funoni.com marketplace(e.g funoni is not responsible for any event damages caused by customers or accidents). The Principal shall use its best efforts to fill orders to receive payment.

3. Commission

1. The Principal shall pay Funoni Inc. the selected commission submitted from event commission form of the selling price, of each order Product(s) (event tickets) which is paid for in full.
2. The Principal may upload free Product(s)(free events) for free and shall pay Funoni, Inc. 20% commission of the selling price, of each order Product(s) (event tickets) which is paid for in full when an event is not free.
3. The Principal may upload non-profit Product(s)(charity events) for free.
4. The Principal may accept the return of Product(s) for a refund or partial refund.
5. At the request of Funoni Inc., the Principal shall train Funoni Inc. in the proper use of the Product(s).

4. Advertising and Information Materials

1. For the Duration of the Selling Rights, the Principal shall provide Funoni Inc. at the Principal’s cost with reasonable quantities of advertising(e.g digital event flyers, event photos, videos, other content and event information) materials to aid Funoni Inc. in selling the Product(s) on the Funoni.com
2. For the Duration of the Selling Rights, The Principal grants Funoni Inc. and Funoni Inc. affiliates the right to gather, store, and distribute reasonable quantities of advertising(e.g digital event flyers, event photos, videos, other content and event information) materials.
3. For the Duration of the Selling Rights, The Principal grants Funoni Inc. the right to edit advertising(e.g digital event flyers, event photos, videos, other content and event information) materials. For example but not limited to Funoni Inc. may (Add funoni.com/events link to flyers, trim videos, add funoni logo to flyers etc.)
4. For the Duration of the Selling Rights, The Principal grants Funoni Inc. the right to gather, store, and distribute upcoming event(s) information (Image, Title, Description, Ticket Types, Prices, Location and more event information.) and post them on the funoni.com platform to promote and sell tickets automatically for The Principal.
5. For the Duration of the Selling Rights, Funoni Inc. grants The Principal the right to (STOP, RESUME, and SKIP) Funoni, Inc. posting, promoting, and selling events tickets for the Principal's upcoming event(s) automatically.
5A. If The Principal does not want Funoni, inc. to continue to post, promote and sell tickets for The Principal's upcoming event(s) automatically. The Principal must email Funoni, Inc. with message: STOP promoting my event(s) to on@funoni.com

Funoni, inc. will then, stop posting, promoting and selling tickets for The Principal's event(s) automatically. The Principal will have to post event(s) manually, for Funoni, Inc. to promote The Principal's event(s).
5B. If The Principal wants Funoni, inc. to resume to post, promote and sell tickets for The Principal's upcoming event(s) automatically. The Principal must email Funoni, Inc. with message: RESUME promoting my events(s) to on@funoni.com

Funoni, inc. will then, resume to post, promote and sell tickets for The Principal's upcoming event(s) automatically.
5C. If The Principal wants Funoni, inc. to SKIP to post, promote and sell tickets for The Principal's specified upcoming event(s) automatically. The Principal must email Funoni, Inc. with message: SKIP followed by the event name, date and a event link to on@funoni.com
from the email The Principal used to post event.
Funoni, inc. will then, SKIP the specified events(s) in The Principal's email message and continue to post, promote and sell tickets automatically for The Principal's other upcoming event(s).

5. Summary Termination of Selling Rights

1. If Funoni Inc. breaks any term of this agreement the Principal may terminate the Selling Rights on notice in writing to Funoni Inc.
2. If the Principal breaks any term of this agreement Funoni Inc. may terminate the Selling Rights on notice in writing to the Principal.

6. Termination Consequences

1. On termination of the Selling Rights for any reason, Funoni Inc. shall cease selling the Product(s) (e.g event tickets)

7. Customer Satisfaction Requirements

Customer satisfaction is important. Therefore there will be four levels of consequence for customer complaints or any errors caused by the Principal (Event Host).
1.If the Principal causes errors (not letting customers with valid tickets into the event) Funoni Inc. (funoni.com) may refund the cost of the ticket to the customer and the Principal will not receive payment for that ticket.
2.The second time the Principal causes errors (not letting customers with valid tickets into the event) Funoni Inc. (funoni.com) may withhold the transfer of funds to the Principal for a longer period of time (3-7 days).
3.The third time the Principal causes errors (not letting customers with valid tickets into the event) Funoni Inc. (funoni.com) may enforce a temporary suspension for the Principal for a period of (2 - 4 weeks)
4. The fourth time the Principal causes errors (not letting customers with valid tickets into the event) Funoni Inc. (funoni.com) may cease generating Sales for the Product(s) (e.g Event Tickets)

8. Indemnification

You agree to indemnify, defend and hold harmless Funoni Inc, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Funoni inc. reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Funoni inc. in asserting any available defenses.

9. Miscellaneous

1. The capitalized headings in this agreement are only for convenience of reference and do not form part of or affect the interpretation of this agreement.
2. Time is of the essence of this agreement.
3. This agreement binds and benefits the parties and their respective heirs, executors, administers, personal representatives, successors, and assigns.
4. This agreement is governed by the laws of the State of California.
The Parties each hereby execute this Agreement as of the Date Post Event form is submitted
