Funoni Inc. Party Rental Commission Sales Agreement

This Commission Sales Agreement (“Agreement”) is made and effective the Date Post Party Rentals form is submitted Funoni, Inc. (funoni.com) whose website address is at https://www.Funoni.com/products/post and Party Rental Company submitted Party Rental Company Name the (“Principal”), organized and existing under the laws of California Whereas the Principal wishes to market the product(s) described in Schedule A the (“Products”); Whereas Funoni Inc. is prepared to list and generate orders for the Product(s) (e.g Party Rentals) on the Funoni.com marketplace on behalf of the Principal in return for a commission. It is agreed as follows:

1. Ordering Rights

Funoni Inc. will list Products(s) (e.g Party Rentals) on the Funoni.com platform to generate orders (e.g customers order party rentals on the Funoni.com platform)
1. The Principal grants Funoni Inc. the right to generate orders for the Product(s) (e.g Party Rentals) on behalf of the Principal within the territory described in this agreement until termination of this agreement. Ordering rights commence the Date Post Party Rentals form is submitted the (“Ordering Rights”).
2. Funoni Inc. shall do its best efforts to generate orders for the Product(s) for the duration of the Ordering Rights.

2. Product Prices

1. The Principal shall fix the starting Product price(s) of the Product(s) (e.g Party Rentals) and Funoni Inc. may generate orders for the Product(s) ( e.g Party Rentals) at a higher Product price than the Principal's fixed starting Product price of the Products(s) on the Funoni.com marketplace.
2. Funoni Inc. shall obtain orders information, and payment for the Product(s) (e.g Party Rentals) from customers, signed by or on behalf of the customers and transfer the orders information to Principal to fulfill the orders (Delivery & setup of party rentals) for the customer. Funoni will transfer payment to the Principal after Funoni Inc. has received the commission of the Product price for Product(s) (e.g Party Rentals) and Principal fulfill orders (Delivery on time, setup of ordered party rentals).The principal must deliver party rentals and be ready for use on submitted time. The principal must prepare everything ahead of time. If party rentals require preparation time. The principal must deliver party rentals (depending on the time needed for preparation for party rentals ordered) 1-4 hours prior in order to fulfill the order. By the submitted time all party rentals should be ready for use by the customer.
3. Additionally to the commission of the Product price, Funoni Inc. may earn an additional payment from the difference between the fix starting Product price(s) of the Products(s) set by The Principal and the Products(s) higher price on the Funoni.com marketplace.
4. Funoni Inc. is not responsible for anything outside the Funoni.com marketplace(e.g funoni is not responsible for any party rentals damages caused my customers or accidents). The Principal must fulfill orders to receive payment.

3. Commission

1. The Principal shall pay Funoni Inc. the selected commission submitted from Party Rental commission form of the Product price, of each order Product(s) (Party Rentals) which is paid for in full.
2. The Principal may accept the return of Product(s) for a refund or partial refund.
3. At the request of Funoni Inc., the Principal shall train Funoni Inc. in the proper use of the Product(s).

4. Advertising and Information Materials

1. For the Duration of the ordering Rights, the Principal shall provide Funoni Inc. at the Principal’s cost with reasonable quantities of advertising(e.g Party Rental Pictures, videos, and other content) and user information(Party Rentals information) materials to aid Funoni Inc. in generating orders for the Product(s) on the Funoni.com marketplace.

5. Summary Termination of Ordering Rights

1. If Funoni Inc. breaks any term of this agreement the Principal may terminate the Ordering Rights on notice in writing to Funoni Inc. 2. If the Principal breaks any term of this agreement Funoni Inc. may terminate the Ordering Rights on notice in writing to the Principal.

6. Termination Consequences

1. On termination of the Ordering Rights for any reason, Funoni Inc. shall cease generating Ordering the Product(s) (e.g Party Rentals)

7. Customer Satisfaction Requirements

Customer satisfaction is important. Therefore there will be four levels of consequence for the delay of party rentals, customer complaints or any errors caused by the Principal (party rental company).
If the Principal does not deliver the party rentals, Funoni Inc. may refund the cost of the Product(s) (e.g Party Rentals) order to the customer and the Principal will not receive payment for that Product(s) (e.g Party Rentals).
1.The first time the Principal delays the delivery, and setup of party rentals(customer complaints or any errors caused by party rental company)Funoni Inc. may charge an additional fee of 25$ dollars.
2.The second time the Principal delays the delivery, and setup of party rentals(customer complaints or any errors caused by party rental company)Funoni Inc. may charge an additional fee of 75$ dollars.
3.The third time the Principal delays the delivery, and setup of party rentals(customer complaints or any errors caused by party rental company)Funoni Inc. may decrease the principal's audience reach on funoni.com and promotional efforts which will cause a decrease in the number of orders generated for the responsible Principal.
4.The fourth time the Principal delays the delivery, and setup of party rentals(customer complaints or any errors caused by party rental company)Funoni Inc. may decrease the principal's audience reach on funoni.com and promotional efforts which will cause a decrease in the number of orders generated for the responsible the Principal.
5.The fifth time the Principal delays the delivery, and setup time of party rentals(customer complaints or any errors caused by party rental company) Funoni Inc. may withhold the transfer of funds to the Principal for a longer period of time (3-7 days).
6.The sixth time the Principal delays the delivery, and setup of party rentals(customer complaints or any errors caused by party rental company) Funoni Inc. may temporarily suspend the Principal for a period of (2 - 4 weeks) from being listed on funoni.com which will result in no generation of orders.
7. The seventh delay time the Principal delays delivery, and setup of party rentals(customer complaints or any errors caused by party rental company) Funoni Inc. may cease generating Ordering for the Product(s) (e.g Party Rentals) permanently.

8. Indemnification

You agree to indemnify, defend and hold harmless Funoni Inc, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Funoni inc. reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Funoni inc. in asserting any available defenses.

9. Miscellaneous

1. The capitalized headings in this agreement are only for convenience of reference and do not form part of or affect the interpretation of this agreement.
2. Time is of the essence of this agreement.
3. This agreement binds and benefits the parties and their respective heirs, executors, administers, personal representatives, successors, and assigns.
4. This agreement is governed by the laws of the State of California.
The Parties each hereby execute this Agreement as of the Date Post Party Rentals form is submitted
